iTokHub API Service Terms

Welcome to use the API services provided by TOKHUB TECH PTE. LTD. and its affiliates (hereinafter referred to as "iTokHub", "we", "us" or "our"). Please carefully read and fully understand all contents of this Agreement before using the services. By checking the confirmation box on the webpage or accepting this Agreement in other ways, you acknowledge that you have read, understood and agreed to be bound by all terms herein.

1. Scope and Definitions

1.1 Definitions

iTokHub : Refers to TOKHUB TECH PTE. LTD. and its affiliates that provide API services.

API Service : Means the application programming interfaces, relevant documents, data and services provided by iTokHub, which allow developers to integrate and utilize our artificial intelligence capabilities in their applications.

Developer : Means any individual, legal entity or other organization that uses the iTokHub API Service, also referred to as "you" or "your" under this Agreement.

Application : Means the software, websites, services or other application products developed by the Developer with the aid of the iTokHub API Service.

1.2 Scope of the Agreement

This Agreement constitutes a legal contract between you and iTokHub governing your use of the API Service. When using the API Service, you also agree to abide by our Privacy Policy and all other relevant rules and policies, which are incorporated into this Agreement by reference.

2. Service Content and License

2.1 Service Content

iTokHub shall provide you with the API Service in accordance with this Agreement. The specific service contents, including available models and functions, shall be subject to the announcements published on the official website of iTokHub. iTokHub reserves the right to update, upgrade or adjust the API Service (including phasing out old versions) for business development purposes, and will notify you via the official website or other reasonable means.

2.2 License and Restrictions

  1. iTokHub grants you a non-exclusive, non-transferable and non-sublicensable limited license to use the API Service subject to the provisions of this Agreement.
  2. You may only use the API Service within the scope permitted by iTokHub. You shall not use the API Service for any illegal activities or acts in violation of this Agreement. Prohibited uses include but are not limited to generating illegal content, infringing intellectual property rights, endangering service security, or attempting to conduct reverse engineering, decompilation or extraction of the underlying models or training data of the API Service.
  3. You shall comply with all usage restrictions specified by iTokHub, including rate limits and usage quotas.

3. Account Registration and Usage

3.1 Eligibility for Registration

You represent and warrant that you are a natural person, legal entity or other organization with full legal capacity and authority to enter into this Agreement. You shall ensure that you are not subject to any trade restrictions or sanctions that prohibit your use of this Service.

3.2 Account Registration and Usage

You must provide accurate and complete information to complete the registration process. You are responsible for keeping your account credentials confidential and shall be liable for all activities conducted under your account. You shall promptly notify iTokHub once you detect any unauthorized use of your account.

4. Data Usage and Privacy Protection

4.1 Data Usage

You take full responsibility for all data submitted by you to the API Service ("Your Data"). You shall ensure that Your Data and the use thereof through our Service comply with all applicable laws and regulations. You agree that iTokHub may collect and use technical data and related information in accordance with our Privacy Policy to improve our services and for other commercial purposes. If the Developer processes personal data of residents in the European Union or Singapore, the Data Processing Addendum (DPA) shall apply between iTokHub and the Developer.

4.2 Privacy Protection

iTokHub shall process personal information in accordance with its Privacy Policy. Although iTokHub has implemented reasonable security measures, you acknowledge that no system is absolutely secure. If the API Service involves processing personal data subject to specific regulations such as PDPA and GDPR, additional data processing terms may apply.

5. Intellectual Property Rights

5.1 Ownership of Intellectual Property Rights

All intellectual property rights in the API Service, including underlying technologies, software, documents and any improvements thereto, are exclusively owned by iTokHub and its licensors. This Agreement only grants you a license to use the API Service.

5.2 Your Data and Output

You retain the ownership of Your Data. Provided that you comply with this Agreement, you own the output content generated by the API Service. You grant iTokHub a license to use Your Data solely for the purpose of providing and maintaining the API Service.

6. Subscription and Usage Policies

6.1 Service Purchase Model

iTokHub provides services on a pay-as-you-go basis.

6.2 Pay-As-You-Go Rules

  1. Account Recharge: After you successfully purchase pay-as-you-go service units or account balance, the corresponding units or balance will be credited to your account.
  2. Usage Deduction: When you use the API Service, the system will deduct available service units or balance from your account in real time based on actual usage. All deduction records shall be subject to the data recorded by our platform system.
  3. Validity Period and Refund Policy: The validity period and refund rules for purchased pay-as-you-go units or balance shall be subject to the information displayed on the purchase page and platform rules. Unless otherwise specified, units or balance without a designated validity period shall remain valid permanently.

7. Liability Limitation and Disclaimer

7.1 Disclaimer

The API Service is provided on an "as is" and "as available" basis. iTokHub expressly disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. iTokHub does not warrant that the Service will be uninterrupted, error-free or completely secure. You are solely responsible for verifying the accuracy and appropriateness of any output content prior to use.

7.2 Limitation of Liability

Nothing in this Agreement shall limit liability for death or personal injury arising from negligence or fraud.

To the fullest extent permitted by applicable laws, iTokHub shall not be liable for any indirect, incidental, special, consequential, punitive damages, or any loss of profits or data arising out of or in connection with this Agreement. The total aggregate liability of iTokHub shall not exceed the total service fees paid by you to iTokHub within six (6) months prior to the occurrence of the incident giving rise to the claim. The above limitations shall remain effective even if iTokHub has been advised of the possibility of such damages.

8. Amendment and Termination of the Agreement

8.1 Amendment of the Agreement

iTokHub may revise this Agreement from time to time. For material changes, we will provide notices via email, website announcements or other means. Your continued use of the API Service after the effective date of the revised terms shall constitute your acceptance of the amended Agreement.

8.2 Termination of the Agreement

This Agreement shall remain in effect until terminated. You may terminate this Agreement at any time by ceasing to use the API Service. If you breach any provision of this Agreement, iTokHub may immediately suspend or terminate your access to the Service. Upon termination of this Agreement, all licenses granted to you shall terminate, and you must stop all use of the API Service.

9. Governing Law and Dispute Resolution

9.1 Governing Law

This Agreement, as well as all non-contractual obligations and disputes arising out of or in connection with this Agreement, shall be governed by and construed in accordance with the laws of Singapore.

9.2 Dispute Resolution

Any dispute arising out of or relating to this Agreement shall first be resolved through friendly negotiation. If the dispute cannot be settled within sixty (60) days, either party may submit the dispute to the Singapore International Arbitration Centre for arbitration. The place of arbitration shall be Singapore. The arbitral tribunal shall consist of one (1) arbitrator, and the arbitration proceedings shall be conducted in English.

10. Miscellaneous Provisions

10.1 Notices

iTokHub may send notices to you via official website announcements, email or other contact information you provided. A notice shall be deemed duly delivered once dispatched.

10.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.3 Entire Agreement

This Agreement together with the **Privacy Policy** constitutes the entire agreement between you and iTokHub with respect to the API Service.

10.4 Interpretation

This Agreement is executed in both English and Chinese. In the event of any conflict or ambiguity between the two versions, the English version shall prevail.

11. Compliance and Acceptable Use Policy

11.1 Content Control Policy

As a Developer, you are obligated to establish, implement, maintain and continuously improve a strict and effective content control system matching the nature and target market of your Application. This system shall proactively prevent, detect and block prohibited content (including but not limited to pornographic, obscene, violent, hateful, discriminatory, infringing and false content, malware and other illegal content prohibited by applicable laws, platform policies, public policies and social ethics) from being generated, processed, stored, transmitted, displayed, distributed or accessed via the API Service or within your Application.

Your obligations include but are not limited to:

  • Formulate written policies: Issue a clear and public Acceptable Use Policy (AUP) or similar document to explicitly prohibit the creation and dissemination of prohibited content, and fully inform your end users thereof.
  • Implement technical measures: Deploy appropriate technical filtering mechanisms (such as keyword filtering, image recognition, content review modules and user reporting systems) in the front-end, back-end and API integration links of your Application to conduct real-time or post-review before content generation and dissemination.
  • Manual review and response: Set up an effective manual review team or process to make final judgments on system-flagged suspicious content and promptly investigate and handle user reports.
  • Record-keeping and audit: Retain necessary logs to track the source, processing and handling of prohibited content when required, and cooperate with regulatory requirements and reasonable compliance inquiries from iTokHub.
  • Risk assessment and update: Regularly assess content risks arising from your use of the API Service, and update your control policies and technical measures in a timely manner in response to emerging threats, legal changes and industry best practices.

You acknowledge and agree that you shall bear the primary and full compliance liability for all content generated by your Application and its users. Any content security tools or filtering functions (if any) provided by iTokHub are for auxiliary purposes only, and shall not constitute a guarantee of content compliance nor relieve you of any liabilities. If iTokHub reasonably determines that you fail to perform your content control obligations or that your Application poses substantial content risks, iTokHub has the right to suspend or terminate the provision of the API Service to you.

11.2 Fraud Monitoring, Refund and Dispute Handling Policy

a. Fraud Monitoring Obligations

You must establish and implement a sound fraud risk management framework to detect, prevent and address fraudulent activities occurring through your Application integrated with the API Service. The framework shall match your business model, transaction scale and risk profile, and shall at least include the following elements:

  • Monitoring strategy: Formulate clear fraud monitoring rules and define suspicious or fraudulent behaviors, including abnormal usage patterns, bot activities, payment fraud (e.g. stolen credit cards, money laundering), account takeover, promotion abuse and identity forgery.
  • Technical tools: Adopt industry-recognized fraud detection tools, services or algorithms to conduct real-time analysis and risk scoring on user behaviors, transaction data and API call patterns.
  • Risk assessment: Conduct risk assessment at key business nodes such as registration, login, payment and high-frequency API calls, and take corresponding measures including enhanced authentication, manual review and transaction suspension based on risk scores.
  • Investigation and response procedures: Establish internal workflows to promptly investigate and collect evidence for system-flagged or reported fraud incidents, and take decisive actions including freezing accounts, canceling transactions, reporting to law enforcement authorities and notifying relevant parties such as card issuers.
  • Record-keeping and reporting: Keep detailed records of fraud monitoring activities, investigation results and response actions. You shall regularly review and optimize the effectiveness of your fraud monitoring system.

You acknowledge that iTokHub may also implement platform-level fraud detection and protection measures. If iTokHub’s system detects or reasonably suspects that your account, usage patterns or activities generated via your Application involve fraud, abuse or threats to service integrity, iTokHub may immediately suspend or terminate your access to the API Service and freeze relevant funds or data without prior notice pending investigation. This measure is a right of iTokHub to protect platform security and shall not relieve you of any liabilities.

b. Refund and Chargeback Handling Policy

You shall formulate and publicly announce a fair and transparent refund policy and dispute resolution process to your end users. As the merchant contracting with end users, you shall be solely responsible for all refund requests and payment disputes (including credit card chargebacks) arising from such business relationships.

Your policies and procedures shall clearly specify:

  • Refund rules: Clarify eligible refund scenarios (e.g. undelivered services, severe quality issues, duplicate charges), refund time limits, refund methods (original payment path or account credit) and non-refundable circumstances (e.g. consumed virtual goods, abusive behaviors).
  • Dispute resolution channels: Provide accessible contact methods such as customer service email and online forms for users to submit refund requests or inquiries, and commit to responding within a reasonable period (recommended 7 to 14 working days).
  • Evidence retention: Preserve sufficient evidence to prove the legality of transactions and performance of services for each deal, including user agreement records, service usage logs, delivery proofs and communication records. The retention period shall comply with the rules of payment card organizations (generally no less than 180 days) and applicable laws.
  • Chargeback response: Upon receiving chargeback notices from payment processors (e.g. acquirers, PayPal, Stripe), you shall submit sufficient defense evidence within the specified time limit (generally 7 to 10 working days). You shall bear all losses arising from failure to respond to chargebacks timely or effectively.
  • Fees and liabilities: All fund refunds, handling fees, fines and additional penalties imposed by payment processors due to excessive chargeback rates arising from transactions on your Application shall be borne entirely by you. The fees charged by iTokHub for the API Service are consideration for technical resource usage. Unless required by mandatory laws or otherwise agreed in writing by iTokHub, all deducted fees are non-refundable.
  • Independent liabilities: The payment relationship between you and your end users is independent of the service relationship between you and iTokHub. iTokHub is not a party to any transaction between you and your users, and shall not participate in or guarantee the performance of such transactions. All transaction disputes shall be resolved directly between you and your users. You shall indemnify iTokHub against all losses, expenses and reputational damages incurred due to your improper handling of refunds or chargebacks.
